About the Role:

We are seeking a highly skilled and experienced Senior Mergers & Acquisitions (M&A) Attorney to lead and oversee the acquisition of TikTok from ByteDance. This is a high-stakes, high-impact role requiring deep expertise in corporate transactions, regulatory compliance, and deal structuring on an international scale. The successful candidate will work closely with executive leadership, financial advisors, and regulatory bodies to execute one of the most significant acquisitions in the technology and media industry.

Key Responsibilities:

  • Lead the legal strategy for the acquisition of TikTok, ensuring compliance with U.S. and international regulations.
  • Conduct due diligence on ByteDance and TikTok’s legal, financial, and operational risks.
  • Structure and negotiate the terms of the acquisition, aiming for an optimal financial and strategic outcome.
  • Collaborate with regulatory agencies, including the U.S. Department of Justice, Federal Trade Commission (FTC), and Committee on Foreign Investment in the United States (CFIUS), to ensure a smooth transaction process.
  • Advise on potential antitrust concerns and other legal implications of the acquisition.
  • Draft, review, and negotiate transaction agreements, financing documents, and shareholder arrangements.
  • Work with internal and external stakeholders, including investment banks, private equity firms, and strategic partners.
  • Provide legal oversight on matters related to intellectual property, data privacy, cybersecurity, and employment law as they pertain to the acquisition.
  • Develop and execute a post-acquisition integration strategy from a legal standpoint.

Qualifications & Experience:

  • Juris Doctor (J.D.) from an accredited law school and active bar membership in at least one U.S. jurisdiction.
  • 10+ years of experience in M&A law, with a strong background in high-profile, multibillion-dollar transactions.
  • Expertise in technology acquisitions, cross-border transactions, and complex deal structuring.
  • Experience handling transactions subject to U.S. regulatory scrutiny (e.g., CFIUS, antitrust laws, FCC approvals).
  • Strong negotiation and communication skills with the ability to lead high-stakes discussions.
  • Ability to work in a fast-paced, high-pressure environment with tight deadlines.
  • Established relationships with key regulatory bodies and knowledge of China-related legal complexities is a plus.

Compensation & Performance Incentives:

  • Base Compensation: $500,000 for the duration of the contract.
  • Performance-Based Compensation: If the total acquisition price is less than $25 billion, total earnings can increase up to $2 million.
  • Additional bonuses may be considered based on deal success and post-acquisition integration milestones.
